Board of Directors

Defines the general orientation of the Company’s businesses, controls and monitors the Company’s performance. The Board’s prerogatives are to propose to the General Assembly and approve changes in the company’s By-Laws; decide on the distribution of earnings of the Company’s subsidiaries, also on the constitution, merger, incorporation, split or extinction of its subsidiaries or even the sale of shares or assets of the Company.

Gueitiro Matsuo Genso:

Academic Background: Mr. Genso holds an MBA in Basic General Training for Senior Executives (1998) from the Getulio Vargas Foundation (FGV-PR); Agribusiness (2002) from the Luiz de Queiroz Higher Institute of Agriculture (ESALQ/USP); and a degree in Business Administration (2002) from the Sociedade Paranaense de Ensino e Informática College (SPEI).

Academic Background: Ms. Azeredo has a degree in Law (1984) from the Candido Mendes Law School (RJ), and has several specialization degrees, including the Stanford Executive Program (2003), from the Stanford Graduate School of Business in the state of California, United States. She specializes in the corporate and capital market areas, focusing on mergers and acquisitions in Brazil and abroad, and capital market operations, through the issue of securities (initial public offerings and private offerings).

Professional Experience: Ms. Azeredo is Member of Tupy‘s Directors Board since may 2019; Worked as Legal Officer of Companhia Siderúrgica Nacional and Embratel Participações S.A. and as a member of the Board of Directors of JBS SA, Itá SA, Tele-Norte Celular Participações S.A., Light S.A. and Metropolitana S.A. from 2000 to 2001 (these two as an alternate member). She is founding partner of Azeredo Santos & Cirne Lima Advogados, a law firm specialized in capital market and corporate (mergers and acquisitions) operations.

Board of Officers

The Board of Officers is responsible for executing all necessary measures in order to achieve the objectives of the Company, as set out in the bylaws. The Board also represents the Company in court, during conflicts, lawsuits and other kinds of legal summoning. The Officers are responsible for celebrating legal transactions, such as contracts. The Board is led by the CEO who calls the meetings and commands the general activities of the Company. During the Board’s deliberations, the CEO has the casting vote, in addition to their regular vote. The minimal rate of attendance of a Board’s meeting is 3/5 (three fifths) of its members.

Fiscal Council
